Terms of Service

Welcome to Evolvion.io (“Evolvion,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) govern your access to and use of our website, applications, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. When you create an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use at brandon@evolvion.io.

2. Description of the Services

Evolvion provides software, tools, and related functionality to help teams plan, design, and deliver digital products. We may add, modify, or discontinue features from time to time; where feasible, we will avoid materially diminishing core functionality during an active, paid subscription term.

3. Subscriptions, Trials & Billing

Certain features may require a paid subscription. By starting a subscription, you authorize us (or our payment processor) to charge applicable fees, taxes, and any other charges you incur. Unless otherwise stated, subscriptions renew automatically until canceled in your account settings. Cancellations take effect at the end of the current billing period.

a) Trials & Promotions

Trial or promotional offers are subject to the terms presented with the offer. After a trial ends, your plan may renew at the then-current rate unless you cancel before the trial ends.

b) Refunds

Except where required by law, payments are non-refundable. If you believe you were charged in error, contact us at brandon@evolvion.io.

4. Acceptable Use

You agree not to misuse the Services. For example, you will not:

• use the Services in any unlawful way or to violate any law or rights of others;
• reverse engineer, decompile, or attempt to derive the source code of any part of the Services;
• interfere with or disrupt the integrity or performance of the Services or related systems;
• upload, transmit, or distribute viruses, malware, or other harmful code;
• use automated means (bots, scrapers) to access the Services without prior written consent;
• attempt to gain unauthorized access to the Services or related accounts, systems, or networks.

5. User Content

You may submit, upload, or otherwise make content available through the Services (“User Content”). You retain ownership of your User Content. You grant Evolvion a worldwide, non-exclusive, royalty-free license to host, store, display, and process your User Content solely to provide and improve the Services and as otherwise permitted by these Terms.

a) Responsibility

You are solely responsible for your User Content and for ensuring that you have all necessary rights to grant the above license. You represent that your User Content does not infringe or violate any third-party rights, or any law or regulation.

6. Intellectual Property

The Services, including software, designs, text, graphics, logos, and other content provided by Evolvion (collectively, “Evolvion Content”), are owned by Evolvion or its licensors and protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services or Evolvion Content.

7. Third-Party Services

The Services may integrate with or link to third-party services. Your use of those services is governed by their terms and privacy policies. Evolvion is not responsible for third-party services and does not endorse or assume any liability for them.

8. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information. By using the Services, you consent to our data practices described there.

9. Confidentiality

If you receive non-public information from us that is designated as confidential or reasonably should be understood to be confidential, you will use such information only for your permitted use of the Services and will not disclose it to any third party without our prior written consent.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVOLVION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVOLVION AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNTS YOU PAID TO EVOLVION FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Evolvion and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

13. Term & Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time if you violate these Terms or if we discontinue the Services. Upon termination, your right to use the Services will cease immediately; certain provisions (including Sections 5–12) will survive termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and you consent to personal jurisdiction and venue in such courts.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on Evolvion.io and updating the “Effective Date” above. Your continued use of the Services after the changes become effective constitutes your acceptance of the updated Terms.
